  • Minimum Members:

For the Private Limited Company Registration, a minimum of 2 members are required, and a maximum of 200 members/shareholders are required as per the Companies Act, 2013.

  • Resident Director:

For the Private Limited Company Registration, a minimum of 2 directors is required. Each director should have their Director Identification Number (DIN) which is issued by the MCA (Ministry of Corporate Affairs) and one of the company's director must be an Indian citizen, it means the director should have stayed in India not less than 182 days.

  • Distinctive Name of the Company:

This is an essential part of private limited company registration. The name of the company must be unique and identical. It contains three-part, i.e. the name, activity and private limited company, and all the private companies must add the private limited company word at the end of the company's name.

  • Address of the registered office:

The owner of the company must provide the permanent address of the company at the time of the company registration in India because without this, and the company does not get register. It does not require to have a commercial space for registered office; even a rented house can become a registered office.

  • Obtain DSC and DIN:

The registration process is online, so all the documents are submitted online, and for that, the company must have a DSC (Digital Signature Certificate) and DIN (Director Identification Number) which is used to check the authenticity of all the documents.

  • Forms required for the Certificate of Incorporation:

Once your company's name gets approved from the Ministry of Corporate Affairs (MCA), then apply for Incorporation Certificate with the following forms:

  1. INC-7.
  2. INC-22.
  3. DIR-12.
Essential documents required for the Private Limited Company Registration in India

Following are some vital documents required at the time of Private Limited Company Registration process and all the documents must be self-attested by the applicant or director:

  • Documents required from Directors and Shareholders of the company (If the director or shareholder is an Indian Citizen):
  1. Submit PAN card of all the designated directors and shareholders.
  2. Digital Signature Certificate (DSC) and Director Identification Number (DIN) of each director.
  3. Submit a copy of latest bank statement/electricity bill / mobile bill/gas bill as an address proof. Make sure all these documents must be in the name of the applicant.
  4. Submit a copy of Aadhar card or Voter Id card of all the proposed directors.
  5. Mobile number and email id of directors.
  • If the director or shareholder is NRI or Foreign National:
  1. Submit Passport of all the designated directors and shareholders of the company.
  2. Submit any address proof which contains an address it can be driving license, latest bank statement, residence card, etc.
  • Documents required in case if the Shareholder is a Corporate Body:
  1. Submit a copy of PAN card, enclosing the seal and signature of the official person.
  2. Board Resolution.
  3. Submit a copy of address proof of the authorized person.
  • Documents required for Registered Office:
  • If the registered office is rented:
  1. Submit a copy of Rent Agreement or Lease Deed.
  2. Submit a copy of the latest electricity bill.
  3. Submit a copy of NOC (No Objection Certificate) from the owner of the property.
  4. Submit a copy of Aadhar card and PAN card of the landlord.
  • If the registered office is self-owned:
  1. Submit a scanned copy of property papers.
  2. Submit a copy of the latest electricity bill or gas bill or water bill or telephone bill, etc. of the registered office.
  3. Submit a copy of Property Deed or Sale Deed.
  4. NOC (No Objection Certificate).

Note:

  • All the copies of documents must be self-attested by the directors.
  • All the utility bills must be in the name of the director and should not be older than two months.
  • The landlord of the registered office must provide NOC for holding the office in his/her properties and must submit their Id proof and address proof.
Extra Documents required for Private Limited Company Registration

Following are some extra documents required at the time of Company Registration in India:

  • Submit the details about the capital share amount and proposed share ratio.
  • A brief of an organization in written.
  • Work-related information of all the directors and shareholders of the company.
  • Affidavits for non-acceptance.
